Virtualis AI Images Licensing

EULA

This Image Licensing Agreement ("Agreement") is entered into as of 2023-11-01, by and between the end user and the licensor.

Licensor:

1. Definitions

(a) “Image(s)”: Refers to all forms of visual content, either created or displayed by Virtualis AI, encompassing any photographs, illustrations, graphics, and other products or visual representations

(b) "Licensor" refers to Virtualis AI, the entity providing the Images.

(c) "Users" refers to any individuals or entities who access, interact with, download, or use the Images provided by Virtualis AI, including but not limited to customers, clients, subscribers, visitors, and third-party affiliates.

2. Grant of License

Virtualis AI grants Users of the website "virtualis.ai” a non-exclusive, non-transferable license to use the Images for any purpose which does not breach any other clause of this license.

3. Restrictions

(a) Users are expressly prohibited from sublicensing, selling, or distributing the Images, whether in digital format or as physical prints, to any third party without prior written consent from Virtualis AI.

(b) Users may not modify, alter, or create derivative works from the Images without express written permission from Virtualis AI.

4. Adult Content Restrictions

(a) Virtualis AI is committed to responsible content generation. While our technology can generate images of individuals that appear to be minors for artistic, non-sexualized contexts, we strictly prohibit the use of such depictions in any inappropriate or exploitative manner.

(b) Virtualis AI takes a staunch position against child exploitation. All models depicted in any sexual or suggestive content are designed to represent individuals over the age of 18. Any resemblance to individuals under 18 is purely coincidental and not intentional.

(c) Despite variations in appearance, including perceived age, we affirm that all character models generated for the purpose of sexual, suggestive, or pornographic content were intended to represent persons of legal age (over 18 years old).

(d) Users must not distribute, publish, or share content from Virtualis AI that is sexual or pornographic in nature on any online platforms or digital channels. Virtualis AI reserves the right to enforce this policy, including the removal of content, termination of user accounts, and legal action against entities that violate these terms.

5. Intellectual Property

(a) Virtualis AI retains all rights, title, and interest in and to the Images, including any intellectual property rights.

(b) Users shall not claim ownership or authorship of the Images.

6. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Spain.

7. Termination

Virtualis AI may terminate this Agreement at any time without notice if the user breaches any material term or condition of this Agreement.

8. Original Authorship

While Virtualis AI retains the rights to display and distribute the images on the platform, the original authors remain the rightful owners of the images. These authors have explicitly granted Virtualis AI consent for the display and commercial distribution of their content on the website. Virtualis AI is unwavering in its commitment to ensure that the images featured on the platform will not be subject to any form of resale or unauthorized distribution.

9. Entire Agreement

This Agreement contains the entire understanding between the Parties and supersedes all prior agreements, whether oral or written, pertaining to the subject matter herein.

10. Modifications

Virtualis AI retains the prerogative to modify or amend this policy at its own discretion. Users are encouraged to routinely review this page for any updates.
